Allgemeine Geschäftsbedingungen

Bachelor of Arts Erkan Kosar bietet unter dem Namen ENX 3D Visualisierungen Leistungen im Bereich digitaler Bilderstellung und -bearbeitung (CGI – Computer Generated Images) sowie Compositing und Postproduktion an.


1. Geltungsbereich / Vertragsschluss

1.1. Die nachstehenden Allgemeinen Geschäftsbedingungen gelten für alle Rechtsgeschäfte zwischen ENX 3D Visualisierungen und ihren Vertragspartnern („Auftraggeber“). Bei Auftragserteilung gelten diese AGB als stillschweigend anerkannt.

1.2. Diese Bedingungen gelten auch für zukünftige Geschäftsbeziehungen mit dem Auftraggeber.

1.3. Jeder Auftrag ist ein Urheberwerkvertrag. Es gelten die Vorschriften des Werkvertragsrechts und des Urheberrechtsgesetzes.

1.4. Angebote von ENX 3D Visualisierungen sind freibleibend, sofern sie nicht ausdrücklich als verbindlich bezeichnet sind.

1.5. Verträge kommen durch schriftliche Bestätigung zustande oder wenn ENX 3D Visualisierungen die beauftragte Leistung tatsächlich erbringt.

1.6. Die Übersendung von Daten oder Materialien nach Angebotserstellung gilt als Auftragserteilung, sofern der Auftraggeber nichts Gegenteiliges erklärt.

1.7. Nebenabreden bedürfen der Schriftform.

1.8. Preis- und AGB-Änderungen gelten nur für neue oder erneuerte Aufträge.


2. Leistungsänderung

2.1. Änderungswünsche des Auftraggebers sind schriftlich mitzuteilen. ENX 3D Visualisierungen prüft die Auswirkungen auf Aufwand, Vergütung und Termine.

2.2. Betroffene Termine werden entsprechend angepasst.

2.3. Aufwendungen durch Änderungswünsche trägt der Auftraggeber.

2.4. Änderungen werden nur durch schriftliche Nachtragsvereinbarung wirksam.

2.5. Kommt keine Einigung zustande, bleibt es beim ursprünglichen Leistungsumfang.


3. Vergütung

3.1. Sofern keine ausdrückliche Vereinbarung getroffen wurde, gilt die übliche Vergütung von ENX 3D Visualisierungen.

3.2. Die Berechnung erfolgt auf Basis der geleisteten Arbeitszeit (8 Stunden pro Tagessatz).

3.3. Preise verstehen sich zuzüglich gesetzlicher Umsatzsteuer und Nebenkosten.

3.4. Rechnungen sind binnen 14 Tagen nach Rechnungsdatum ohne Abzug zu begleichen.

3.5. Bei längeren Projekten können Abschlagszahlungen vereinbart werden.

3.6. Einwendungen gegen Rechnungen sind binnen 14 Tagen zu erheben.

3.7. Bei Projektabbruch durch den Auftraggeber sind bis dahin angefallene Kosten zu erstatten.

3.8. Bei Zweifeln an der Bonität des Auftraggebers kann ENX 3D Visualisierungen Vorauszahlung verlangen.


4. Rechte / Eigentumsvorbehalt

4.1. Alle Arbeiten von ENX 3D Visualisierungen sind urheberrechtlich geschützt.

4.2. Das Urheberrecht verbleibt bei ENX 3D Visualisierungen; der Auftraggeber erhält nur vereinbarte Nutzungsrechte.

4.3. Eine Weitergabe oder erweiterte Nutzung ist nur mit schriftlicher Zustimmung erlaubt.

4.4. Vorschläge des Auftraggebers begründen kein Miturheberrecht.

4.5. Bis zur vollständigen Zahlung bleibt das Eigentum bei ENX 3D Visualisierungen.


5. Überlassene Gegenstände / Datenmaterial

5.1. ENX 3D Visualisierungen haftet nicht für überlassene Gegenstände, es sei denn, Vorsatz oder grobe Fahrlässigkeit liegt vor.

5.2. Materialien werden nur auf Wunsch zurückgesendet, eine Aufbewahrungspflicht besteht nicht.

5.3. Der Auftraggeber versichert, dass keine Rechte Dritter verletzt werden.


6. Geheimhaltung

6.1. Beide Parteien verpflichten sich zur Vertraulichkeit über alle im Rahmen der Zusammenarbeit erlangten Informationen.

6.2. Diese Verpflichtung gilt auch nach Vertragsende.

6.3. Öffentlich bekannte Informationen sind hiervon ausgenommen.


7. Kündigung aus wichtigem Grund

7.1. ENX 3D Visualisierungen kann das Vertragsverhältnis bei wesentlichen Vertragsverletzungen oder Zahlungsverzug fristlos kündigen.

7.2. In diesem Fall bleibt der Vergütungsanspruch für bereits erbrachte Leistungen bestehen.


8. Schlussbestimmungen

8.1. Änderungen und Ergänzungen bedürfen der Schriftform.

8.2. Sollte eine Bestimmung unwirksam sein, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.

8.3. Es gilt deutsches Recht. Gerichtsstand ist Stuttgart.

General Terms and Conditions (GTC)

Bachelor of Arts Erkan Kosar provides services under the name ENX 3D Visualisierungen in the field of digital image creation and editing, commonly referred to as CGI (Computer Generated Images), as well as compositing and post-production.


1. Scope / Formation of Contract

1.1. The following General Terms and Conditions apply to all legal transactions between ENX 3D Visualisierungen, owner Erkan Kosar, Heilbronner Straße 150, 70191 Stuttgart (hereinafter "ENX 3D Visualisierungen"), and its contractual partners (hereinafter "Client").

1.2. By placing an order, the Client is deemed to have tacitly accepted these GTC. Divergent terms and conditions of the Client shall only become part of the contract if expressly accepted in writing by ENX 3D Visualisierungen.

1.3. These terms apply to all current and future business relations with the Client.

1.4. Every order placed with ENX 3D Visualisierungen constitutes a contract for work and services as regulated under German law (Werkvertrag and the Copyright Act where applicable). The subject matter of the contract is the creation of the commissioned work and the granting of usage rights to that work.

1.5. Offers by ENX 3D Visualisierungen are non-binding and without obligation unless expressly stated otherwise or unless an explicit acceptance deadline is given. Contracts require written confirmation by ENX 3D Visualisierungen to become effective. However, the performance of the ordered service by ENX 3D Visualisierungen shall also be deemed to constitute acceptance of the order even without a separate written confirmation.

1.6. The transmission of data (3D e.g. CAD files, Max files, etc.; 2D e.g. photographs, etc.) or physical material samples or scans or photos to the project by the Client after submission of an offer shall be considered as order placement by the Client, unless the Client expressly declares otherwise.

1.7. Further agreements, particularly oral ancillary agreements and subsequent contractual amendments, must be made in writing to be effective. This also applies to a waiver of the written form requirement.

1.8. ENX 3D Visualisierungen reserves the right to amend these GTC and its prices. Such changes shall only apply to new orders or order renewals. Ongoing orders may not be changed, except for service extensions that are contractually agreed in writing.


2. Changes to Services

2.1. If the Client wishes to change the contractual scope of services to be provided by ENX 3D Visualisierungen, the Client shall notify ENX 3D Visualisierungen of such change request in writing. ENX 3D Visualisierungen will examine the requested change and inform the Client of the effects on remuneration, additional effort, deadlines and feasibility.

2.2. Appointments affected by the change request will be postponed, taking into account the duration of the review, the duration of any consultations about the change proposal and, if applicable, the duration of the changes to be carried out, plus an appropriate start-up period. ENX 3D Visualisierungen will inform the Client of the new dates.

2.3. The Client shall bear the costs resulting from the change request. These include, in particular, the review of the change request, the preparation of a change proposal and any downtime. If the parties have agreed daily rates, costs will be calculated on the basis of these rates; otherwise costs will be calculated according to ENX 3D Visualisierungen's usual fees.

2.4. After examining the change request, ENX 3D Visualisierungen will explain the effects of the requested change on the existing agreement. The contractual parties will promptly agree on the content of a proposal for implementing the change request and append the result to the contract text as an addendum.

2.5. If no agreement is reached or the change procedure ends for any other reason, the original scope of services shall remain unaffected.


3. Remuneration

3.1. If the parties have not made express agreements on the remuneration for services of ENX 3D Visualisierungen, the Client shall pay the customary remuneration for the services rendered. In case of doubt, the rates quoted by ENX 3D Visualisierungen shall be deemed customary.

3.2. Time-based services are billed according to work records. The Client accepts the time records of ENX 3D Visualisierungen as binding. For billing on a daily-rate basis, one working day comprises 8 hours.

3.3. Prices of ENX 3D Visualisierungen apply to the scope of services and deliveries listed in offers and/or order confirmations. Additional or special services will be invoiced separately. Prices are quoted in EURO plus applicable statutory VAT, packaging, freight, customs, shipping insurance and other public charges. Any travel expenses, encodings, copies and materials incurred will be invoiced separately.

3.4. Invoices of ENX 3D Visualisierungen are due for payment within 14 days after the invoice date without any deduction unless otherwise agreed in writing. The date of receipt by ENX 3D Visualisierungen shall be decisive for timely payment. Cheques shall be considered payment only after collection.

3.5. For long-term projects, ENX 3D Visualisierungen is entitled to request reasonable interim payments for partial services. These partial services do not have to be provided in a usable form for the Client and may be available only as working material on the side of ENX 3D Visualisierungen.

3.6. Objections to fee statements by ENX 3D Visualisierungen must be raised immediately after receipt of the invoice, but no later than 2 weeks after the billing or invoice date, without prejudice to payment obligations. Failure to raise timely objections shall be deemed acceptance of the charge.

3.7. In the event of changes or cancellation of orders, works and the like by the Client, ENX 3D Visualisierungen shall be reimbursed for all costs incurred up to that point, shall be paid for the services rendered to that date and shall be indemnified by the Client from any liabilities towards third parties.

3.8. ENX 3D Visualisierungen is entitled to perform outstanding services only against advance payment or security if, after conclusion of the contract, circumstances become known which are substantially likely to impair the Client’s creditworthiness and which endanger payment of outstanding claims under the respective contractual relationship.


4. Rights / Retention of Title

4.1. All works produced by ENX 3D Visualisierungen shall be regarded as personal intellectual creations protected by the German Copyright Act (Urheberrechtsgesetz). These provisions are deemed agreed even if the level of creativity required under § 2 UrhG is not achieved.

4.2. Without the consent of ENX 3D Visualisierungen, the created works, including the author’s credit, may not be altered either in the original or in copies. Any imitation — even of parts of the work — is prohibited.

4.3. The parties will agree on the territorial and temporal scope in which ENX 3D Visualisierungen grants the Client rights of use to the final image data. Unless otherwise agreed, a spatially unlimited and temporally limited (two years) simple right of use shall be deemed granted. Transfer of granted usage rights to third parties requires the consent of ENX 3D Visualisierungen.

4.4. All working documents, electronic data and records created in the course of preparing the order on the part of ENX 3D Visualisierungen remain the property of ENX 3D Visualisierungen. Payment of the agreed fee entitles the Client only to the agreed performance, but not to the intermediate steps that led to that result in the form of sketches, drafts, production data, etc. All rights to process data (non-final services) remain with ENX 3D Visualisierungen. If the Client wishes to receive files and data, this must be agreed in writing and remunerated separately.

4.5. Audio rights are the responsibility of the Client. Audio rights are not provided by ENX 3D Visualisierungen. Deviations from this must be agreed in writing and remunerated separately.

4.6. Until full payment of the agreed remuneration, the right to use the services provided to the Client is revocable. ENX 3D Visualisierungen may revoke the use of such services during the period for which the Client is in default of payment.

4.7. The data delivered and/or processed by ENX 3D Visualisierungen remain the property of ENX 3D Visualisierungen until all claims arising from the business relationship, including interest and ancillary costs, have been settled. Any resale or other disposition by the Client during the existence of the retention of title requires the written consent of ENX 3D Visualisierungen.

4.8. ENX 3D Visualisierungen has a right of retention in respect of items handed over by the Client or stored with ENX 3D Visualisierungen or manufactured for it. This right remains until all claims from the business relationship with the Client have been settled.


5. Items / Data Material Provided

5.1. ENX 3D Visualisierungen is not liable for items of any kind provided by the Client. Such items are stored at the Client’s risk and expense. After prior written notice, ENX 3D Visualisierungen is entitled to store such items with third parties at the Client’s expense. In the event of loss and/or damage to materials handed over for processing, ENX 3D Visualisierungen's liability is limited to replacement delivery of raw material to the extent of the lost or damaged material.

5.2. There is no obligation for ENX 3D Visualisierungen to insure such items.

5.3. Transfer and/or working material generated in the course of performance by ENX 3D Visualisierungen will be kept for up to one month after project completion (handover of the final data files). ENX 3D Visualisierungen reserves the right to delete transfer and working data and tapes after this period. At the Client’s request, these data can be stored in ENX 3D Visualisierungen's internal backup and restored for subsequent projects (project restore). Costs arising from a project restore shall be borne by the Client in accordance with the current price list.


6. Confidentiality

6.1. Documents, information and experiences provided to the other contracting party may only be used for the purposes of the contractual relationship and must not be made accessible to third parties unless intended for third parties or already known to them.

6.2. Third parties are not persons engaged for the performance of the contractual relationship, such as freelance staff, subcontractors, etc.

6.3. The parties also agree to maintain confidentiality about the contents of this contract and the findings obtained during its implementation.

6.4. The obligation of confidentiality continues beyond termination of the contractual relationship.

6.5. If one contracting party requires it, documents handed over to it (such as strategy papers, letters, data, etc.) shall be returned to that party after termination of the contractual relationship, provided the other party cannot assert a legitimate interest in retaining such documents.


7. Termination for Good Cause

7.1. ENX 3D Visualisierungen is entitled to terminate the contractual relationship for good cause. Good cause in particular includes substantial breach of contract; change in company circumstances or material deterioration of the Client’s financial circumstances, especially in the event of persistent, material default in payment or delay with respect to other essential obligations; non-payment or dishonour of cheques or bills; insolvency; filing for insolvency proceedings.

7.2. In the event of termination by ENX 3D Visualisierungen for good cause, ENX 3D Visualisierungen is entitled to invoice the services rendered irrespective of their usability for the Client.


8. Final Provisions

8.1. All amendments and additions to contractual agreements must be made in writing for evidentiary purposes. Any waiver of the written form requirement must itself be made in writing.

8.2. Terminations must be made in writing by registered mail.

8.3. Should individual provisions of the agreements between the parties be or become wholly or partly invalid, the validity of the remaining provisions shall not be affected. In this case, the parties shall replace the invalid provision by a valid provision which comes as close as possible to the economic purpose of the invalid provision. The foregoing also applies to any gaps in the agreement.

8.4. General Terms and Conditions of the Client do not become part of the contract, even if not expressly contradicted.

8.5. German law shall apply exclusively, to the exclusion of international private law and the UN Convention on Contracts for the International Sale of Goods.

8.6. Exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is the registered office of ENX 3D Visualisierungen, Stuttgart, insofar as legally permissible.
